Welcome to Look Locale Auction. By using this Site, you are agreeing to these Terms of Service. Please read them carefully. If you have any questions, contact us at hello@looklocale.ca.

ACCEPTANCE OF TERMS

Look Locale Auction ("Look Locale," "we," "us," or "our") owns and operates the website at looklocale.auction, its mobile versions, and any related sites or applications that reference these Terms of Service (collectively, the "Site"). By (a) using the Site, (b) signing up for an account, (c) listing an item for auction, or (d) placing a bid or completing a purchase on the Site, you agree to these Terms of Service and any additional terms applicable to specific programs in which you participate. You also agree to our Privacy Policy, which is incorporated by reference.

The Privacy Policy, together with these Terms, and any other terms incorporated by reference, are collectively referred to as the "Terms."

IF YOU DO NOT AGREE TO THESE TERMS, IMMEDIATELY STOP USING THE SITE AND DO NOT PARTICIPATE IN ANY AUCTION, LIST ANY ITEM, OR PURCHASE ANY VOUCHER, PRODUCT, OR SERVICE THROUGH THE SITE.

PLEASE REVIEW THE FOLLOWING SECTIONS CAREFULLY: (A) DISPUTE RESOLUTION, INCLUDING THE CLASS ACTION WAIVER, (B) LIMITATION OF LIABILITY, AND (C) INDEMNIFICATION AND RELEASE.

1. ABOUT THE SITE

Look Locale Auction is an online auction marketplace where local businesses ("Sellers" or "Merchants") list gift cards, services, products, and experiences for sale through an auction format. Buyers ("Bidders") place competitive bids, and the highest valid bidder at the close of an auction wins the right to purchase the item at the winning bid amount.

The Site offers the following types of listings (collectively, "Auction Items"):

(a) Gift Card Vouchers redeemable at the Seller's business (b) Service Vouchers for spa treatments, services, professional services, and experiences (c) Physical Products sold by local businesses (d) Experience Packages combining multiple services or goods

Sellers are the issuers of all Auction Items and are solely responsible to Bidders for the quality, delivery, and redemption of the goods and services offered. Look Locale is not the seller of any Auction Item. Look Locale operates the marketplace platform and facilitates transactions between Sellers and Bidders.

Look Locale charges Sellers a commission of fifteen percent (15%) of the final winning bid amount on every successful auction. This commission is deducted from the Seller's payout at the time of settlement. Commission rates may be modified for specific promotions or seller agreements, but the standard rate is fifteen percent (15%).

2. OWNERSHIP OF THE SITE

The Site, its content, and the infrastructure used to provide the Site are proprietary to Look Locale, its affiliates, Sellers, and other content providers. By using the Site and accepting these Terms: (a) Look Locale grants you a limited, personal, non-transferable, non-exclusive, revocable license to use the Site under these Terms; and (b) you agree not to reproduce, distribute, create derivative works from, publicly display, sell, or resell any content, software, products, or services obtained from the Site without express written permission from Look Locale.

3. USE OF THE SITE

As a condition of using the Site, you agree that:

  • You have reached the age of majority in Saskatchewan (18 years of age) or the province in which you reside
  • You are able to create a binding legal obligation
  • You are not barred from receiving products or services under applicable law
  • You will not use crawlers, robots, scraping tools, or any automated functionality on the Site
  • Your use of the Site will comply with these Terms at all times
  • You will only place legitimate bids that you intend to honour if you are the winning bidder
  • You will only purchase Auction Items for your own use, as a gift, or for legitimate business use, and not for resale unless expressly permitted
  • You have the right to provide any information you submit to the Site, and all such information is accurate, true, current, and complete
  • You will update and correct your account information promptly when it changes
  • You will only purchase Auction Items through the Site by creating a verified account

4. ACCESS TO THE SITE

Look Locale retains the right, at its sole discretion, to deny service or use of the Site or an account to anyone at any time and for any reason, including but not limited to non-payment, fraudulent activity, abusive behaviour toward Sellers or staff, repeated cancellation of winning bids, or violation of these Terms.

While we use reasonable efforts to keep the Site accessible, the Site may be unavailable from time to time due to maintenance or circumstances outside our control. We are not liable for any losses resulting from Site downtime, including missed bidding opportunities.

5. MODIFICATION OF TERMS

We reserve the right to discontinue or modify any part of these Terms at our sole discretion. If we make changes that affect your use of the Site, we will post notice of the change on the Terms of Service page and send notification to registered users. Any changes will be effective upon posting and will be prospective only. If you do not agree to the changes, you must close your account and stop using the Site. Continued use of the Site after the effective date constitutes acceptance of the changes.

6. YOUR ACCOUNT

You may only create and hold one account on the Site for your personal use. You must register using a valid email address, phone number, and either a valid Canadian credit card or other accepted payment method. You are responsible for keeping your account information accurate and up to date.

You must safeguard your password and supervise the use of your account. You are solely responsible for any activity that occurs under your account. We will assume that anyone using the Site or transacting through your account is you.

Buyer Verification: For any Auction Item with a winning bid value of five hundred dollars ($500) or more, or for cumulative active bids exceeding five hundred dollars ($500), Look Locale may require additional verification including government-issued photo identification and a verified credit card on file. Bids placed without required verification may be cancelled at Look Locale's discretion.

Seller Verification: Sellers must complete business verification before listing on the Site, including business registration documentation, proof of operating address within the service area, and acceptance of the Seller Agreement incorporated into these Terms.

Your account is non-transferable. You cannot sell, combine, or share it with any other person. Any violation of these Terms, including failure to maintain accurate account information, may result in account suspension or cancellation. Upon cancellation, you may forfeit any pending account credits, unredeemed vouchers (subject to applicable consumer protection law), or other unredeemed value in your account.

7. AUCTION RULES AND BIDDING

7.1 Placing a Bid

By placing a bid, you enter into a binding offer to purchase the Auction Item at the bid amount if you are the winning bidder at the close of the auction. Bids cannot be retracted except in limited circumstances at Look Locale's sole discretion (such as obvious typographical errors caught within ten minutes of placement, before any subsequent bids).

All bids must meet or exceed the current bid plus the minimum bid increment set by the Seller.

7.2 Reserve Prices

Sellers may set a hidden reserve price. If the highest bid at the close of the auction does not meet the reserve, the auction will end as unsold and no transaction will occur. The presence and amount of any reserve price is not disclosed to Bidders.

7.3 Buy It Now

Sellers may offer a "Buy It Now" option that ends the auction immediately upon purchase. The Buy It Now option may be removed by the Seller at any time before the first bid is placed.

7.4 Anti-Sniping Extensions

If a bid is placed within the final two (2) minutes of an auction, the auction end time will be automatically extended by two (2) minutes from the time of the new bid. This extension applies repeatedly until no further bids are placed in the final two minutes.

7.5 Auto-Bidding

The Site offers automatic bidding (proxy bidding) where a Bidder sets a maximum amount and the system places bids on their behalf up to that maximum, only as needed to maintain the winning bid position.

7.6 Winning a Bid

When an auction closes, the highest valid bidder (provided any reserve has been met) is the winner. Winners are notified by email immediately and must complete payment within forty-eight (48) hours. Failure to pay within forty-eight (48) hours may result in:

  • Forfeiture of the winning bid and the Auction Item being offered to the next-highest bidder or relisted
  • A non-payment strike on the Bidder's account
  • Suspension or termination of the Bidder's account after repeated non-payments
  • A non-payment fee of up to twenty-five dollars ($25) charged to the payment method on file

7.7 Shill Bidding and Manipulation

Shill bidding (Sellers bidding on their own auctions or coordinating with others to artificially inflate bids) is strictly prohibited and grounds for immediate account termination and reporting to relevant authorities. Bidders are also prohibited from engaging in bid manipulation, collusion, or any form of fraudulent bidding.

8. FULFILLMENT, DELIVERY, AND REDEMPTION

8.1 Fulfillment Methods

At the time of listing, Sellers must specify the fulfillment method for each Auction Item:

  • Digital Voucher: A unique redemption code emailed to the winning Bidder, redeemed in person at the Seller's business
  • In-Person Pickup: The winning Bidder picks up the item at the Seller's specified location during stated hours
  • Local Delivery: The Seller delivers the item within specified Regina and area postal code zones for the stated delivery fee
  • Shipping: The Seller ships the item to a Canadian address for the stated shipping fee
  • Buyer Arranges: For large items (hot tubs, vehicles, large furniture), the winning Bidder arranges pickup or delivery directly with the Seller

8.2 Voucher Redemption

Digital vouchers issued by Look Locale on behalf of Sellers will include a unique alphanumeric redemption code and an expiry date. Vouchers must be presented at the Seller's business location and verified by the Seller before redemption.

Voucher expiry dates comply with Saskatchewan's Consumer Protection and Business Practices Act and applicable gift card regulations. The cash value of a voucher (the amount paid by the Bidder) does not expire, in accordance with Saskatchewan law. However, any promotional value above the cash value (for example, a $100 voucher purchased for $40 contains $40 of non-expiring cash value and $60 of promotional value that may expire on the stated expiry date).

8.3 Voucher Issues

If a Seller refuses to honour a valid, non-expired voucher, the Bidder should contact Look Locale support within thirty (30) days. Look Locale will investigate and may, at its discretion, refund the Bidder the full amount paid. Sellers who repeatedly refuse to honour valid vouchers will be removed from the platform.

8.4 Delivery and Pickup Disputes

For physical items, disputes regarding delivery condition, missing items, or non-delivery must be reported to Look Locale within seven (7) days of the stated delivery or pickup date. Look Locale will mediate between Buyer and Seller and may issue refunds at its discretion based on evidence provided.

9. PAYMENTS, COMMISSIONS, AND PAYOUTS

9.1 Buyer Payment

Winning Bidders pay the full bid amount, plus any applicable shipping, delivery, or fulfillment fees, plus applicable taxes (GST, PST), directly through the Site using accepted payment methods (currently credit and debit cards via Stripe, and other methods as added).

9.2 Commission

Look Locale charges Sellers a commission of fifteen percent (15%) of the final winning bid amount on every successful auction. This commission is calculated on the bid amount only and does not include shipping, delivery, or fulfillment fees, which are passed through to the Seller in full.

9.3 Seller Payout

Seller payouts are processed within seven (7) business days following the later of (a) the buyer's payment clearing, or (b) confirmation of fulfillment (voucher issued for digital fulfillment, item shipped or delivered for physical fulfillment). Look Locale uses Stripe Connect or equivalent third-party payment infrastructure to facilitate payouts. Sellers must complete payment account verification before receiving payouts.

9.4 Refunds and Chargebacks

If a Bidder requests a refund due to Seller non-fulfillment, refusal to honour a voucher, or other Seller fault, Look Locale will issue the refund and recover the amount from the Seller's pending payouts or payment method on file. Sellers are responsible for chargeback fees and any losses arising from their failure to fulfill auction sales.

9.5 Taxes

Sellers are responsible for collecting and remitting all applicable sales taxes (GST, PST) on their sales. Look Locale may, at its discretion, collect and remit taxes on behalf of Sellers in certain provinces. Sellers are responsible for reporting their auction income to the Canada Revenue Agency.

10. PROHIBITED ITEMS AND CONDUCT

10.1 Prohibited Items

The following items may not be listed on Look Locale Auction:

  • Firearms, ammunition, weapons, or weapon accessories
  • Cannabis, cannabis-related products, or any controlled substance
  • Alcohol (Saskatchewan Liquor and Gaming Authority licensing restrictions apply)
  • Tobacco, vape, and nicotine products
  • Adult content, services, or items
  • Live animals or animal parts
  • Counterfeit goods, replicas, or unauthorized branded merchandise
  • Stolen property or items obtained illegally
  • Prescription medications or medical devices requiring a prescription
  • Lottery tickets, raffle tickets, or other gambling products
  • Used cosmetics, personal hygiene products, or undergarments
  • Hazardous materials, chemicals, or flammable substances
  • Any item the sale of which is restricted or prohibited under Saskatchewan or Canadian law

10.2 Prohibited Conduct

The following activities are prohibited and constitute violations of these Terms:

  • Submitting false, misleading, or fraudulent information in listings or bids
  • Creating multiple accounts to manipulate bidding
  • Shill bidding or coordinating bids with other parties to inflate prices
  • Contacting other users to complete transactions outside the platform to avoid commission
  • Harassing, threatening, or abusing other users, Sellers, or Look Locale staff
  • Posting reviews or feedback that is false, defamatory, or not based on actual experience
  • Using the Site to advertise unrelated products or services
  • Scraping, copying, or aggregating Site content for commercial use
  • Reverse-engineering or attempting to access non-public areas of the Site

Violation of these prohibitions may result in immediate account termination, forfeiture of pending payouts (for Sellers) or account credits (for Bidders), and reporting to law enforcement where applicable.

11. SELLER OBLIGATIONS

By listing an Auction Item on the Site, Sellers represent and warrant that:

  • They are a legally registered business operating in Saskatchewan or the applicable service area
  • They have the legal right to sell the item or service being listed
  • All listing information (description, photos, retail value, redemption terms) is accurate and not misleading
  • The item or service will be delivered as described and within the timeframe stated
  • They will honour all valid vouchers issued through the Site for the stated value
  • They will not refuse service to a winning Bidder for reasons other than legitimate business policies disclosed at the time of listing
  • They will collect and remit all applicable taxes on their sales
  • They have adequate business insurance for the products or services offered
  • They will respond to Bidder inquiries within two (2) business days

Sellers are independent contractors. Nothing in these Terms creates an employment, partnership, joint venture, or franchise relationship between Look Locale and any Seller.

12. INTERNAL CREDITS AND PROMOTIONS

Look Locale may, at its discretion, issue platform credits ("Locale Credits") for promotions, refunds, referral bonuses, or compensation. Locale Credits:

  • Are not redeemable for cash unless required by law
  • Expire one hundred and eighty (180) days after issue unless otherwise stated, except for credits issued as refunds of paid amounts, which do not expire
  • Are non-transferable between accounts
  • Can only be applied to future winning bids on the Site
  • May be revoked in cases of fraud, abuse, or violation of these Terms

13. YOUR PRIVACY

We take the privacy of your Personal Information seriously. Please review our Privacy Policy for important disclosures about how we collect, use, and share personal data and your choices. Our Privacy Policy is incorporated into these Terms.

14. COPYRIGHT AND TRADEMARKS

The Site contains copyrighted material, trademarks, and other proprietary information. The contents of the Site are protected by Canadian copyright, trademark, and other intellectual property laws. Look Locale owns the copyright in the selection, coordination, arrangement, and enhancement of Site content, as well as content original to it.

"Look Locale" and "Look Locale Auction" are trademarks of Look Locale Inc. (or applicable owning entity). You may not use Look Locale's name, logos, or trademarks without express written permission.

Sellers retain copyright in their own listing content (descriptions, photos) but grant Look Locale a royalty-free, perpetual, worldwide, transferable, sublicensable license to use, display, reproduce, modify, and distribute that content in connection with operating, promoting, and marketing the Site.

15. USER CONTENT

The Site allows users to submit reviews, ratings, comments, photos, and other content ("User Content"). By submitting User Content, you:

  • Represent that you have the right to submit the content
  • Represent that the content is accurate, not defamatory, not harassing, and not infringing on any third party rights
  • Grant Look Locale a royalty-free, perpetual, irrevocable, sublicensable, transferable, worldwide license to use, reproduce, modify, publish, distribute, and display the User Content for any purpose, including marketing, promotion, and operation of the Site
  • Waive any moral rights you may have in the User Content

Look Locale has the right (but not the obligation) to review, edit, remove, or refuse to post User Content at its sole discretion. We assume no liability for User Content posted by others.

User Content is public. Other users may read your User Content and Look Locale is not responsible for how others use it.

16. INFRINGEMENT REPORTING

If you believe content on the Site infringes your copyright, trademark, or other intellectual property right, please submit a complaint to legal@looklocale.ca with:

  • Identification of the work claimed to be infringed
  • Identification of the infringing material and its location on the Site
  • Your contact information
  • A statement that you have a good faith belief that use is not authorized
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act

17. DISCLAIMER OF WARRANTY

AS PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY AGREE THAT USE OF THE SITE IS AT YOUR SOLE RISK. NEITHER LOOK LOCALE NOR ITS SUBSIDIARIES, AFFILIATES, OR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, SELLERS, THIRD-PARTY CONTENT PROVIDERS, OR LICENSORS WARRANT THAT USE OF THE SITE WILL BE UNINTERRUPTED, SECURE, VIRUS-FREE, OR ERROR-FREE.

THE SITE AND ALL CONTENT, AUCTION ITEMS, AND USER CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE EXTENT ALLOWED BY APPLICABLE LAW, LOOK LOCALE DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.

THESE LIMITATIONS DO NOT LIMIT ANY WARRANTY PROVIDED DIRECTLY BY A SELLER OR THE MANUFACTURER OF PHYSICAL PRODUCTS.

18. LIMITATION OF LIABILITY

AS PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOOK LOCALE, ITS SUBSIDIARIES, AFFILIATES, OR ANY OF THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, SELLERS, OR PARTNERS BE LIABLE FOR ANY DIRECT OR INDIRECT LOST PROFITS, LOST BUSINESS DAMAGES, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO:

(a) Your use of the Site or any content on it (b) Your inability to use the Site (c) Any Auction Item, voucher, product, or service obtained through the Site (d) Any action or inaction by a Seller (e) Any improper use of information you provide to the Site (f) Failed bids, missed auctions, or technical errors (g) Disputes between Bidders and Sellers

IN NO EVENT WILL LOOK LOCALE'S TOTAL LIABILITY IN CONNECTION WITH ANY AUCTION ITEM OR TRANSACTION EXCEED THE AMOUNTS YOU PAID FOR THE SPECIFIC AUCTION ITEM GIVING RISE TO THE CLAIM.

These limitations do not limit any warranty provided directly by a Seller or manufacturer, nor remedies you may have for product-related injury under applicable law.

19. INDEMNIFICATION AND RELEASE

You agree to defend, indemnify, and hold harmless Look Locale, its subsidiaries, affiliates, and their respective directors, officers, employees, and agents from all claims and expenses, including reasonable legal fees, arising out of:

(a) Any User Content you submit (b) Your use of the Site in violation of these Terms (c) Fraud, intentional misconduct, or gross negligence by you (d) Your violation of any applicable Canadian, provincial, or foreign law or rights of a third party

You are solely responsible for your interactions with Sellers and other users. To the extent permitted by applicable law, you release Look Locale from any claims or liability related to:

  • Any product, service, or voucher offered by a Seller
  • Any action or inaction by a Seller, including failure to honour vouchers, failure to deliver, or failure to provide services as described
  • Any conduct, speech, or User Content of any other user
  • Any losses arising from failed bids, missed auction opportunities, or platform downtime

20. FORCE MAJEURE

Look Locale shall be excused from performance under these Terms to the extent it is prevented or delayed from performing due to events beyond its reasonable control, including but not limited to: acts of God, weather, fire, flood, war, terrorism, civil disorder, pandemic, government action, labour strikes, power outages, internet or telecommunications failures, or third-party service provider failures.

21. ASSIGNMENT

You may not assign these Terms or any rights or obligations hereunder without our express written permission. Look Locale may assign these Terms, in whole or in part, to any third party at its sole discretion, including in connection with a merger, acquisition, or sale of assets.

22. ENTIRE AGREEMENT

These Terms, including the incorporated Privacy Policy and Seller Agreement (where applicable), constitute the entire agreement between you and Look Locale with respect to the subject matter and supersede all prior communications.

23. CHOICE OF LAW

These Terms and any disputes arising out of them shall be governed by the laws of the Province of Saskatchewan, Canada, without regard to its conflict of laws principles. The parties specifically disclaim the application of the United Nations Convention on Contracts for the International Sale of Goods.

24. DISPUTE RESOLUTION

24.1 Informal Resolution

Before pursuing formal dispute resolution, you agree to first contact Look Locale support at hello@looklocale.ca and provide a detailed description of the dispute. We will attempt to resolve the matter informally within thirty (30) days.

24.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved through binding arbitration administered under the rules of the ADR Institute of Canada, with arbitration to take place in Regina, Saskatchewan. The arbitrator's decision shall be final and binding.

24.3 Class Action Waiver

WE EACH AGREE THAT ANY DISPUTE SHALL BE BROUGHT IN OUR INDIVIDUAL CAPACITIES AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR CONSOLIDATED ACTION. THE ARBITRATOR MAY AWARD RELIEF ONLY ON AN INDIVIDUAL BASIS.

24.4 Injunctive Relief

Either party may bring suit in a court of competent jurisdiction in Saskatchewan seeking injunctive or equitable relief arising out of or relating to intellectual property infringement, fraud, or any act affecting the security or functionality of the Site.

24.5 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for claims within that court's jurisdiction.

24.6 Severability

If any part of this Section 24 is ruled unenforceable, the remainder shall remain in full effect.

25. ELECTRONIC COMMUNICATIONS

When you use the Site or send emails to Look Locale, you consent to receive electronic communications related to your use of the Site. We may communicate with you by email or by posting notices on the Site. All electronic communications satisfy any legal requirement that communications be in writing.

You may opt out of marketing communications through your account settings. Transactional communications (bid confirmations, voucher delivery, payment receipts, account notices) cannot be opted out of while you maintain an active account.

If you opt to receive notifications by SMS, message and data rates may apply.

26. THIRD-PARTY WEBSITES

The Site contains links to websites operated by third parties. These links are provided solely as a convenience and do not constitute endorsement. We disclaim any representations regarding the content or accuracy of third-party websites. If you access a third-party site, you do so at your own risk.

27. ADDITIONAL DISCLOSURES

No waiver by either party of any breach or default under these Terms is a waiver of any preceding or subsequent breach or default. Section headings are for convenience only. If any provision is held invalid, the remaining provisions shall continue in full force and effect.

The provisions of these Terms apply equally to, and are for the benefit of, Look Locale, its subsidiaries, affiliates, Sellers, and third-party service providers, each of whom shall have the right to enforce these provisions directly.


By using Look Locale Auction, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service.
